Benjamin Wolkov, Partner

Mr. Wolkov’s practice focuses on a broad range of corporate counseling and domestic and international transactions, with a primary focus on business formation, business growth, mergers, acquisitions and divestitures, venture capital investments and financings, and joint ventures and strategic alliances.

Before forming Montero Wolkov, Mr. Wolkov was a partner in the Corporate Department of McDermott, Will & Emery, a major international law firm. Mr. Wolkov has significant experience working on cross-border acquisitions and financings between the United States and various jurisdictions in Europe, Asia and Latin America, particularly in Mexico and Brazil. Mr. Wolkov’s practice includes the servicing of U.S., European, Asian and Latin American clientele with respect to their cross-border transactional needs.

In addition to his geographical experience, Mr. Wolkov has experience within the infrastructure, health care, life sciences and biotech sectors. He has worked closely with developers and financiers in connection with the construction, development and financing of large-scale infrastructure projects in the U.S. and Latin America (e.g. power plants and toll-roads). He also has regularly represented a wide variety of health care and life sciences clients in connection with their transactional and general corporate needs.

In 2010, Mr. Wolkov was recognized by Florida Trend Magazine as part of its Legal Elite 2010, a prestigious peer-selected roster representing less than 2% of the over 60,000 active Florida Bar members who practice in Florida. Mr. Wolkov was one of only six attorneys statewide named in the “International Law” category of the Legal Elite 2010. In addition, in 2010, Mr. Wolkov was honored by the Cystic Fibrosis Foundation as one of the “40 under 40 Outstanding Lawyers of Miami-Dade County”.

Mr. Wolkov started his career in the Miami office of Hunton & Williams and subsequently worked as an international legal associate in the Mexico City office of Galicia y Robles, a prominent Mexican law firm. In 2005, Mr. Wolkov joined the New York City office of Paul Hastings Janofsky before joining McDermott, Will & Emery in 2006 and becoming a partner in 2008.

Mr. Wolkov is active in community and charitable activities. He serves as a Director of The Overtown Music Project and also is actively involved with the Developing Minds Foundation, an organization that builds schools and educational programs in areas of Latin America affected by poverty and violence.

Raised in London and Copenhagen, Mr. Wolkov is fluent in Danish. Mr. Wolkov has also lived and worked in Brazil and Mexico and is conversational in Spanish and Portuguese. Mr. Wolkov is admitted to practice in the state of Florida.

Lauren Quattromani, Associate

Lauren Quattromani’s practice includes general corporate matters, domestic and cross-border mergers and acquisitions, and joint ventures and equity investments in a broad range of industries.  Lauren works with clients on contractual and transactional aspects of the business cycle for both foreign and domestic clients within the private and public sectors.

Lauren’s specific practice areas include the following:

• Planning from the conceptual stage of business formation, including selecting and structuring the appropriate business entity for the client’s needs and objectives, and in organizing business entities in a variety of jurisdictions.

• Creating subscription and stockholder/owner agreements and arrangements including buy-sell agreements, voting trusts, and proxies.

• Facilitating and documenting initial capitalization, and financing arrangements.

• Helping to resolve stockholder/owner, employee and other business disputes, as well as assisting with board, management, stockholder/owner meetings, and related notice and informational requirements.

• Preparing agreements and arrangements dealing in mergers and acquisitions of private companies and business units, purchases and sales of controlling and minority interests, and corporate reorganizations and restructurings.

• Determining appropriate joint venture structures, whether through corporations, partnerships, limited liability companies, contractual relationships, or some combination of these, and in assisting clients in their evaluation of the various tax, cash flow distribution, liability, control, governance, exit strategy, and other implications of any particular business structure.

Lauren graduated from the University of Miami School of Law in May, 2013.
